This should include:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Contingencies:<\/strong> when, why, and how a buyer or seller can terminate the deal<\/li>\n\n\n\n<li><strong>Financials:<\/strong> the sale price and financing details&nbsp;<\/li>\n\n\n\n<li><strong>Earnest money: <\/strong>how much you\u2019ll require the buyer to give to the third-party escrow service and under what circumstances it could be refunded<\/li>\n\n\n\n<li><strong>Timeline: <\/strong>how much time the buyer has to do due diligence and finalize the deal<\/li>\n\n\n\n<li><strong>What\u2019s being offered:<\/strong> what\u2019s included in the sale, from inventory to email lists to logos<\/li>\n<\/ul>\n\n\n\n<p>Keep in mind that an LOI isn\u2019t a closing document. It\u2019s more of a document that shows that the buyer and seller are on the road to a deal\u2014but there\u2019s more work to be done before they get there. Earnest money is deposited into a <a href=\"https:\/\/www.crazyegg.com\/blog\/go\/ce3663\/\" target=\"_blank\" rel=\"noreferrer noopener nofollow\">Business Exits<\/a> affiliated escrow service after signing an LOI.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 6 &#8211; Due Diligence&nbsp;<\/h2>\n\n\n\n<p>Remember when we said that if you wanted to hold sensitive information back until after an earnest money deposit was made, you could? When you and the buyer have completed <strong>Step 5<\/strong> and earnest money is in the escrow account, it\u2019s time to disclose <strong>everything the buyer asks for.&nbsp;<\/strong><\/p>\n\n\n\n<p>This is the buyer\u2019s time to dig deep into your business and make sure they like everything they see.&nbsp;<\/p>\n\n\n\n<p>Your broker will help you walk through this process, which can take upwards of 30 days. If the buyer decides not to proceed with the sale based on what they find during due diligence, they\u2019re free to walk away. As long as they follow the terms set out in the LOI, that is.&nbsp;<\/p>\n\n\n\n<p>And then it\u2019s time for your broker to put the listing back out there, starting <strong>Steps 5 and 6<\/strong> over again.&nbsp;<\/p>\n\n\n\n<p>If this happens to you, take a deep breath. It happens all the time. You\u2019ll get there.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 7 &#8211; Close the Deal<\/h2>\n\n\n\n<p>Once you\u2019ve moved through the due diligence phase with a buyer and they like what they see, it\u2019s time to draft and sign an asset purchase agreement.
